Terms and Conditions
These Terms and Conditions (“Agreement”) govern the use of software solutions (the “Solutions”) provided by Addonblue Inc. (“Addonblue”, “we”, “our”, “us”) through Salesforce AppExchange. By purchasing, downloading, installing, or using the Solutions, you (“Customer”, “you”, “your”) agree to be bound by these terms and conditions.
1. General Information
Addonblue Inc. is an Independent Software Vendor (ISV) partner with Salesforce and develops software solutions available on the Salesforce AppExchange platform. These Solutions are designed to enhance and extend Salesforce’s capabilities.
2. License Grant and Restrictions
2.1 License Grant: Subject to your compliance with these Terms, Addonblue grants you a non-exclusive, non-transferable, revocable license to use the Solutions, solely for internal business purposes and in accordance with Salesforce’s terms and conditions.
2.2 Restrictions: You may not:
- Modify, adapt, reverse engineer, decompile, or disassemble any part of the Solutions.
- Sell, lease, sublicense, or distribute the Solutions without explicit written consent from Addonblue.
- Use the Solutions in violation of applicable laws, regulations, or policies.
2.3 Salesforce Platform: The Solutions may require integration with Salesforce’s platform. You must have a valid Salesforce account and license to use the Solutions.
3. Payment and Fees
3.1 Pricing: The prices for the Solutions are specified on the AppExchange listing page, subject to change at Addonblue’s discretion. Any changes to pricing will be communicated in advance.
3.2 Payment: Payments for the Solutions must be made through the payment methods specified in the AppExchange portal. You agree to pay all applicable fees, taxes, and charges related to the purchase and use of the Solutions.
3.3 Refund Policy: All sales are final. Refunds are not provided unless otherwise required by applicable law or stated in the specific terms of the Solution.
4. Support and Maintenance
4.1 Support: Addonblue offers support for its Solutions, which may be included as part of the solution or available via separate subscription. Support terms and service levels are detailed on the specific product’s support page.
4.2 Maintenance: Addonblue may release updates, bug fixes, or new versions of the Solutions. You are encouraged to install updates to ensure continued compatibility with Salesforce and optimal performance.
5. Data Privacy and Security
5.1 Data Usage: The Solutions may collect, store, or process personal data as part of their operation. By using the Solutions, you consent to the processing of such data in accordance with Addonblue’s Privacy Policy.
5.2 Compliance: You are responsible for ensuring that the data you process through the Solutions complies with applicable data privacy and protection laws, including GDPR, CCPA, and other regional regulations.
6. Intellectual Property
6.1 Ownership: All intellectual property rights, including copyrights, trademarks, and patents, in the Solutions remain the exclusive property of Addonblue or its licensors.
6.2 Feedback: If you provide any feedback, suggestions, or ideas regarding the Solutions, you grant Addonblue a perpetual, worldwide, irrevocable license to use and incorporate such feedback into its products and services without compensation.
7. Warranties and Disclaimers
7.1 No Warranty: The Solutions are provided “as-is” and without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
7.2 Limitation of Liability: To the maximum extent permitted by law, Addonblue shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, data, or use, arising out of or related to the use or inability to use the Solutions, even if advised of the possibility of such damages.
8. Termination
8.1 Termination by Customer: You may terminate your use of the Solutions at any time by uninstalling the Solutions from your Salesforce account.
8.2 Termination by Addonblue: Addonblue may suspend or terminate your access to the Solutions if you violate these Terms, fail to pay fees, or engage in illegal or unethical conduct.
8.3 Effect of Termination: Upon termination, your license to use the Solutions will be revoked, and you must immediately cease all use of the Solutions. Any accrued obligations prior to termination shall survive.
9. Indemnification
You agree to indemnify, defend, and hold harmless Addonblue, its officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses arising from your use of the Solutions, including any breach of these Terms.
10. Governing Law and Dispute Resolution
10.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of North Carolina, without regard to its conflict of law principles.
10.2 Dispute Resolution: Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in Charlotte, North Carolina, USA, with the prevailing party entitled to recover its reasonable legal fees.
11. Miscellaneous
11.1 Entire Agreement: This Agreement constitutes the entire understanding between you and Addonblue regarding the Solutions and supersedes all prior agreements or understandings, whether written or oral.
11.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
11.3 Amendments: Addonblue may update these Terms from time to time, and such changes will become effective upon posting to the AppExchange page or providing you with notice of the change.
